Terms of Service

1. Acceptance of Terms
By accessing or using CPGFactory.ai ("the Platform"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, you must not use the Platform.
2. Services
CPGFactory.ai provides AI-powered contract manufacturing services for consumer packaged goods, including cosmetics, dietary supplements, and beverages. Our services include AI-driven formulation, robotic manufacturing, quality assurance, compliance checking, packaging, and fulfillment. Service availability and specifications are as described on the Platform at the time of order submission.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate and complete information when creating an account and submitting orders. You are responsible for all activity under your account. You must notify us immediately of any unauthorized access at security@cpgfactory.ai.
4. Orders & Manufacturing
Orders are confirmed upon acceptance by CPGFactory.ai and payment of any required deposits. Quoted timelines are estimates based on current capacity and may vary. We reserve the right to reject orders that violate applicable laws or regulations. All manufacturing is subject to our quality standards and regulatory compliance requirements.
5. Pricing & Payment
Pricing is provided on a per-order basis based on product type, volume, complexity, and priority tier. Payments are due per the terms stated on your invoice. Late payments may incur a 1.5% monthly interest charge. We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days.
6. Intellectual Property
You retain full ownership of your product formulations, brand assets, and proprietary specifications submitted to the Platform. CPGFactory.ai retains ownership of its AI models, manufacturing processes, platform software, and trade secrets. We grant you a limited license to use our Platform for the purpose of ordering and managing manufacturing services. You grant us a limited license to use your specifications solely for the purpose of fulfilling your orders.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. Your formulations, ingredient lists, and product specifications are treated as trade secrets and protected under NDA by default. We will not disclose your confidential information to any third party except as required to fulfill your orders or as required by law.
8. Quality & Compliance
All products are manufactured in compliance with applicable FDA regulations, cGMP standards, and relevant international frameworks. Each batch includes a Certificate of Analysis (CoA). While we perform comprehensive quality checks, you are ultimately responsible for ensuring your products comply with all laws and regulations in your target markets.
9. Limitation of Liability
To the maximum extent permitted by law, CPGFactory.ai's total liability for any claim arising from these terms or our services shall not exceed the amount you paid for the specific order giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.
10. Indemnification
You agree to indemnify and hold harmless CPGFactory.ai from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, your product marketing claims, or any third-party claims related to products manufactured to your specifications.
11. Termination
Either party may terminate the relationship with 30 days written notice. We may suspend or terminate your account immediately for violation of these terms, non-payment, or illegal activity. Upon termination, we will fulfill any orders already in production and retain records as required by regulatory obligations.
12. Governing Law
These terms are governed by the laws of the State of Texas, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Harris County, Texas.
13. Changes to Terms
We may modify these terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
